By accessing and using UPIExpress's services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, you must not use our services.

2. Description of Service

UPIExpress provides dynamic QR code generation services for businesses to accept UPI payments. Our service includes:

• Dynamic QR code generation with customizable parameters
• Real-time payment status verification and notifications
• Comprehensive transaction reporting and analytics
• API integration support for various platforms
• Secure payment processing infrastructure

3. User Accounts

3.1 Registration Requirements

To use our services, you must register for an account and provide accurate, complete, and current information. You must be at least 18 years old to create an account.

3.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breaches
• Ensuring that you log out from your account at the end of each session

3.3 Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms of Service
• Are involved in fraudulent or illegal activities
• Threaten the security or integrity of our services
• Remain inactive for an extended period

4. Service Usage

4.1 Permitted Use

You may use our services only for lawful purposes and in accordance with these Terms. You agree to comply with all applicable local, state, national, and international laws and regulations.

4.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Use the service for any illegal purpose or in violation of any laws
• Violate, or encourage others to violate, any right of a third party
• Infringe upon our intellectual property rights or the intellectual property rights of others
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Interfere with, disrupt, or create an undue burden on the service or networks connected to the service
• Use automated means, including spiders, robots, crawlers, or data mining tools to download data from the service
• Transmit any viruses, malware, or other types of malicious software
• Collect or harvest any personally identifiable information from the service

5. Fees and Payments

5.1 Subscription Fees

UPIExpress charges subscription fees for premium services. All fees are clearly displayed during the signup process and are subject to change with prior notice.

5.2 Payment Terms

• All fees are payable in advance
• Payments are non-refundable as per our Refund Policy
• Failed payments may result in service suspension
• Taxes are not included in the subscription fees and are your responsibility

5.3 Free Trial

We may offer a free trial period for new users. After the trial period ends, you will be required to subscribe to a paid plan to continue using premium features.

6. Intellectual Property

All content, features, and functionality of our service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of UPIExpress and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7. Disclaimer of Warranties

Our service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

UPIExpress does not warrant that:

• The service will meet your specific requirements
• The service will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the service will meet your expectations

8. Limitation of Liability

To the fullest extent permitted by applicable law, UPIExpress shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the service
• Any conduct or content of any third party on the service
• Any content obtained from the service
• Unauthorized access, use, or alteration of your transmissions or content

9. Indemnification

You agree to defend, indemnify, and hold harmless UPIExpress, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the service.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

11. Changes to Terms

We reserve the right to modify these terms at any time. If we make material changes, we will notify you through the service or by other means to provide you the opportunity to review the changes before they become effective. Your continued use of the service after any such changes constitutes your acceptance of the new Terms.
